1. Agreement

These Terms of Use (“Terms”) govern your access to and use of actriant.com and related pages on this domain (the “Site”), operated by Actriant LLC (“Actriant,” “we,” “us,” or “our”). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.

The Site provides general information about Actriant’s consulting offerings, research initiatives, community programs, and related materials. Nothing on the Site creates a client, consulting, employment, partnership, joint venture, or research-affiliate relationship. Any engagement—including enterprise consulting, community access, or research affiliation—is governed only by a separate written agreement signed by the parties.

3. No professional advice

Content on the Site, including research frameworks, technical descriptions, and community program summaries, is for general informational purposes and is not legal, financial, engineering, or other professional advice. Do not submit confidential information through general Site inquiry channels unless we have agreed otherwise in writing.

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACTRIANT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACTRIANT AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

10. Indemnity

You will defend and indemnify Actriant against claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Site or your violation of these Terms, except to the extent caused by our willful misconduct.

11. Changes

We may update the Site or these Terms at any time. The “Last updated” date will change when we revise the Terms. Continued use of the Site after changes become effective constitutes acceptance of the revised Terms.

12. Governing law

These Terms are governed by the applicable laws of the United States, without regard to conflict-of-law rules, except where mandatory local law requires otherwise. Subject to those rules, courts located in the United States will have exclusive jurisdiction over disputes arising from these Terms or the Site.
